Terms of service

The terms on which Backscribe is made available while it is in development.

This agreement

These terms govern your use of the Backscribe website and service, operated by Resonator Consulting, LLC, a Delaware limited liability company. By using either, you agree to them. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

The service is in development

Backscribe is pre-release. It is being built, features described on this site are planned rather than finished, and anything here may change or be withdrawn before general availability.

There is no service-level commitment, no uptime guarantee, and no promise that data will be preserved across development changes. Participation in a pilot is arranged under a separate written agreement, which takes precedence over these terms where the two differ.

Accounts and authority

You are responsible for keeping your account credentials secure and for activity that happens under them.

When you connect a Salesforce org or a mailbox, you confirm you have the authority to do so and that the connection is permitted by your organisation. Connecting an org or mailbox you are not entitled to connect is a breach of these terms.

Acceptable use

You agree not to:

  • Use the service unlawfully, or to process data you have no right to process.
  • Attempt to gain unauthorised access to the service, other customers’ data, or the systems it runs on.
  • Probe, scan, or test the security of the service without our written permission.
  • Reverse engineer, decompile, or resell the service.
  • Use the service in a way that degrades it for anyone else.

Your data

Your data remains yours. We process it only to provide the service, as described in the privacy policy, and we do not sell it.

Records the service writes into your Salesforce org belong to your organisation and live in that org. They are yours to keep, change, or delete, and they are unaffected if you stop using the service.

Salesforce, Google, and other services

The service depends on Salesforce and Google Workspace. Your use of those products is governed by your agreements with them, and you are responsible for complying with those agreements.

We are not responsible for changes those providers make to their products, their pricing, their terms, or their availability, and such changes may affect what the service can do.

Fees

No fees are charged for the service during the pre-release period. If and when charges are introduced, the terms will be set out separately and agreed with you in advance. Nothing here obliges you to pay anything.

Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that it will correctly identify every message or meeting or match every record. You are responsible for reviewing what it produces before relying on it.

Limitation of liability

To the fullest extent permitted by law, Resonator Consulting, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from or relating to your use of the service.

Our total liability arising from or relating to these terms will not exceed one hundred United States dollars, or the amount you have paid us for the service in the twelve months before the claim, whichever is greater.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Term and termination

You may stop using the service and disconnect any org or mailbox at any time. We may suspend or end access at any time during the pre-release period, and will give reasonable notice where we can.

When access ends, we delete your data on the schedule set out in the privacy policy. Records already written into your Salesforce org are unaffected.

Changes to these terms

We may update these terms as the service develops. When we do, we update the effective date at the top, and we will tell customers directly about changes that materially affect them. Continuing to use the service after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the courts of that state have exclusive jurisdiction over any dispute arising from them.
